1. Introduction

1.1. UPass Store (U) Credit is issued by or on behalf of UPass Store (U) to registered users of the UPass Store (U) online marketplace (“you”, “your”).

1.2. By using UPass Store (U) Credit, you agree to these Terms and Conditions together with the UPass Store (U) General Terms of Use, Privacy Policy, Refund Policy, and all other applicable platform policies.

2. UPass Store (U) Credit

2.1. UPass Store (U) Credit refers to electronic credit held in your UPass Store (U) account and may include:

1. Refund Credit – credit issued following a refund for purchases made on the UPass Store (U) platform. Refund credit remains available unless used, withdrawn (where applicable), or restricted by law.
2. Reward / Promotional Credit – credit issued as cashback, bonuses, promotions, discounts, or loyalty rewards, subject to specific promotional terms.

2.2. UPass Store (U) Credit may be used to pay for eligible products and services on the UPass Store (U) platform.

2.3. When using store credit:

1. Applicable discounts are applied before credit deduction
2. Taxes and delivery fees may be deducted from the credit balance
3. Any remaining balance may be paid using other available payment methods
4. Unused credit remains available subject to expiry rules

2.4. Refunds for purchases made using UPass Store (U) Credit will be returned as store credit of the same type originally used.

3. Limitations on Use

3.1. UPass Store (U) Credit may only be used within the UPass Store (U) platform.

3.2. Except as expressly permitted:

1. Store credit cannot be exchanged for cash
2. Store credit cannot be transferred or sold
3. Store credit cannot be used outside the platform
4. Store credit cannot exceed its face value

4. Promotional / Reward Credit Limitations

4.1. Promotional or reward credit:

1. May be restricted to specific products or sellers
2. May expire within a defined period stated in the promotion
3. Is subject to cancellation in cases of fraud, abuse, or misuse

4.2. UPass Store (U) reserves the right to revoke promotional credit at its discretion.

5. Withdrawal of Store Credit

5.1. Refund credit may be eligible for withdrawal where permitted by law and platform policy, subject to verification.

5.2. Promotional or reward credit is not withdrawable.

5.3. Withdrawal requests may be delayed or declined for security, fraud prevention, or regulatory reasons.

6. Protection from Unauthorized Transactions

6.1. You are responsible for safeguarding your account credentials.

6.2. You must immediately notify UPass Store (U) if:

1. You suspect unauthorized transactions
2. Your account details are compromised
3. Your device is lost or stolen

6.3. UPass Store (U) may restrict access to store credit to protect users and platform integrity.

6.4. UPass Store (U) is not liable for unauthorized use caused by user negligence.

7. Due Diligence and Investigations

7.1. UPass Store (U) may conduct identity verification, fraud checks, and compliance reviews.

7.2. You agree to cooperate fully with investigations and provide requested information.

8. User Warranties

You represent and warrant that:

1. You use store credit only for lawful purposes
2. You do not engage in fraud or misuse
3. You comply with all applicable laws and sanctions

9. Limitation of Liability

9.1. Store credit availability may be interrupted for maintenance or technical reasons.

9.2. UPass Store (U) shall not be liable for:

1. Indirect or consequential losses
2. Business losses or lost profits
3. Data loss beyond reasonable control

9.3. Nothing limits liability that cannot be excluded under Ugandan law.

10. Indemnification

You agree to indemnify UPass Store (U) against losses arising from your breach of these Terms or misuse of store credit.

11. Term and Termination

11.1. These Terms apply from the moment store credit is issued.

11.2. UPass Store (U) may suspend or terminate store credit for violations or legal requirements.

11.3. Upon termination:

1. Reward credit may be forfeited
2. Refund credit may be returned where applicable
3. Account access may be closed

12. Variations

UPass Store (U) may modify these Terms. Continued use constitutes acceptance.

13. No Waiver

Failure to enforce any provision does not waive future enforcement.

14. Severability

Invalid provisions do not affect the remaining Terms.

15. Assignment

UPass Store (U) may assign its rights. Users may not assign without consent.

16. Third-Party Rights

These Terms benefit only UPass Store (U) and the user.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Uganda.

Courts of Kampala, Uganda shall have exclusive jurisdiction.

18. Notices

All notices will be sent electronically via email or platform notifications.
